Service Terms

These terms govern business orders with Leyren Studio. Sending a brief is an enquiry, not a paid order.

Version 2026-10-18-v318 October 2026

These terms govern business orders for video production, motion design and related services. A new customer's first video is offered on the 50 percent paid-test arrangement described below. Later orders require 100 percent advance payment unless expressly agreed otherwise in writing. Submitting a website enquiry is not a paid order.

Provider: Individual Entrepreneur (FOP) Boichenko Olena Hryhorivna / ФОП Бойченко Олена Григорівна, Ukraine. The Provider's tax identification number and business address are stated in each Order Confirmation and invoice. Leyren Studio is the Provider's trading name, not a separate legal entity.

1. Provider and business customers

The Provider supplies remote video production, editing, motion design and related creative services to business customers. The person placing an order must have authority to act for the named customer. These terms do not exclude mandatory consumer protections or other rights that cannot lawfully be excluded where they apply.

2. Enquiries and formation of an order

Checking a website checkbox and sending a brief records agreement to these terms for the enquiry only. It does not reserve production time, confirm a price, create a payment obligation or grant rights in any work.

A paid project requires a written or electronic Order Confirmation accepted by both parties. This may be an accepted proposal or a Statement of Work expressly incorporating this version of the terms. It must identify both parties, the order number, the agreed brief and deliverables, the price and currency, the payment arrangement, deadlines, revision allowance and the agreed written communication channel for approvals, complaints and cancellation.

For a first-video order, the Order Confirmation must state the full quoted price, the 50 percent Test Stage Fee and the conditional 50 percent Release Balance. For later orders it must state the 100 percent advance payment. If the first order includes several videos, the first-video arrangement applies only to the single video identified for testing, not automatically to the whole batch.

The customer must explicitly accept the Order Confirmation and these terms through the agreed written or electronic process before the Provider collects an advance payment. Production starts only after the required payment and the prerequisites in section 5. Appropriate signatures or authentication must be used where required by law, including for intellectual property arrangements. The enquiry checkbox is not represented as an electronic signature.

An agreed Order Confirmation prevails over these terms for expressly stated project-specific scope and commercial details. A separately signed agreement prevails where it conflicts with these terms unless the parties expressly amend that agreement. An invoice alone does not silently change the accepted scope or payment arrangement. Website package selection is not an Order Confirmation.

3. Scope and revisions

Only the deliverables, formats, duration, languages and revision rounds stated in the Order Confirmation are included. Editable project files, raw materials and working assets are excluded unless expressly included.

Unless the Order Confirmation expressly states a different allowance, one consolidated creative revision round within the approved brief is included per video, including in the first-video Test Stage. A revision round is one collected set of feedback, not an unlimited series of new requests. A new concept, a changed storyboard after approval, new product flows or assets, extra versions, additional formats and rush work may change the price and schedule. Additional fees require the customer's written approval before the extra work is performed.

Corrections needed because the Provider failed to meet the agreed brief or technical specifications do not consume the included creative revision round and do not carry an additional production fee. A creative preference change within the approved brief is different from a substantiated failure to deliver that brief.

4. Customer materials and approvals

The customer must provide complete, usable assets, clear instructions and timely consolidated feedback. They confirm that they hold the permissions required for supplied product interfaces, recordings, footage, logos, fonts, music, voices, likenesses and other materials, including permission for the agreed processing and intended publication.

The customer gives the Provider limited permission to use supplied materials solely to fulfil the project. Their pre-existing rights in those materials remain theirs. Do not send passwords, payment credentials, real customer records, sensitive personal data or confidential material not approved for production. Use demo accounts and anonymised product screens. Work involving personal data may require separate data-processing terms before access is provided.

5. Schedule and delivery

The production schedule begins only after the Order Confirmation has been accepted, the required advance payment has cleared, all required assets and instructions have been supplied, and any required concept or storyboard has been approved. Dates in the Order Confirmation depend on these prerequisites.

Customer delays and approved scope changes may move the schedule. The Provider will notify the customer of revised dates. There is no automatic 48-hour delivery guarantee.

For the first video, review is through a watermarked preview or another review-only presentation identified in the Order Confirmation. Unwatermarked final files are released only after the customer elects to proceed under section 6.2, the Release Balance and any separately approved fees have cleared, and the required rights documentation has been completed. Delivery is through the agreed electronic channel on the schedule stated in the Order Confirmation.

6. Prices and payments

6.1 General payment rules

The Order Confirmation states the price, currency, applicable taxes, payment method and due dates. The Provider must disclose any approved additional charges before the customer commits to them. No subscription, recurring debit or automatic charge results from an enquiry, a first-video order or continued discussion.

Payment must be made using the Provider's business payment details stated in the accepted order or invoice. If an official card payment page is offered, the actual charge currency, amount and any conversion basis must be shown before payment. The Provider does not collect or store card details. A USD or EUR reference price does not guarantee a card charge in that currency; the customer's bank may apply conversion or other charges.

A payment records receipt of money. It does not by itself confirm that all services have already been performed or that the customer has accepted a finished video. Bank and payment-provider charges must be allocated in the Order Confirmation; these terms do not create unspecified extra fees.

6.2 First video and the 50 percent paid Test Stage

The first paid video order for a new business customer has two separately described amounts, unless the parties expressly agree a different arrangement before payment:

  • The Test Stage Fee is 50 percent of the full quoted price and is payable before production starts.
  • The Release Balance is the other 50 percent. It is conditional on the customer's affirmative decision to take the finished video after review. It is not due merely because production has started or the preview has been delivered.

The Test Stage is a real production service, not a free sample or a payment made only for reserving time. Its agreed scope includes the approved concept and storyboard work, production of a complete review preview of the agreed video, and the included creative revision round if requested in the review period. Any concept or storyboard already supplied by the customer is identified in the Order Confirmation rather than charged as work the Provider has performed.

The Test Stage Fee is earned when the Provider has supplied a preview materially meeting the approved brief and technical specifications and has completed any included revisions requested on time. If the customer declines the video and does not request or expressly waives the unused creative revision round, no further creative revision is required to complete the Test Stage. If no revision is requested within the review period, the Provider may treat the included creative review process as finished; this is not acceptance of the video for release and does not waive claims about a substantiated service failure.

The customer may decline the first video because they do not like the creative result, without having to prove a defect. If the Test Stage has been properly completed, the Provider keeps the Test Stage Fee as payment for that completed work, the Release Balance is not payable, and the customer receives no unwatermarked final file or permission to publish or otherwise commercially use the preview or rejected work. The Provider will not charge the Release Balance or a further cancellation fee merely because the customer declined the first video. Separately approved extra work remains governed by its agreed scope and price.

If the customer wants the finished video, they must affirmatively approve release in writing through the agreed channel or pay the Release Balance in response to its invoice. That decision makes the Release Balance payable. Unless the Order Confirmation states another due date, it must be paid within five business days after both the approval and receipt of the balance invoice. A request for the included revision round is not approval to release. Silence is not approval, and the Provider is not authorised to debit the Release Balance automatically.

The Test Stage Fee is not automatically earned on receipt or simply because work has begun. Cancellation before completion and failure to deliver the agreed Test Stage are dealt with in section 8. The first-video arrangement does not permit the Provider to keep payment for an unperformed stage or disregard a substantiated failure to meet the brief.

6.3 Later orders and 100 percent advance payment

Any later order from the same customer requires 100 percent of its agreed price before production starts, unless a different schedule is expressly accepted in writing. This applies whether the first video was accepted or declined. The first-video option is available once per customer and does not restart for each video, email address or project.

Each later order still requires its own accepted Order Confirmation. There is no obligation to place another order and no authorisation to charge future orders automatically.

The first-video right to decline a compliant creative result without paying its Release Balance does not apply to later orders. Later orders remain subject to the agreed brief, revision allowance, correction obligations and cancellation and refund rules. A 100 percent advance payment is not automatically a non-refundable payment.

7. Review and acceptance

The customer has five business days after receiving a review preview, an agreed revised preview or a correction to provide consolidated feedback, approve release or, for the first video, decline the result. An Order Confirmation may expressly set another review period. A business day is Monday to Friday, excluding public holidays in Ukraine.

For the first video, the customer's choices are to request the included creative revision, approve release and pay the Release Balance, or decline without that balance. Approval must be explicit. Requests to correct substantiated departures from the brief are dealt with without an extra production fee; correction does not oblige the customer to purchase release of a first video they still choose to decline.

For later orders, the customer should approve the delivery or identify specific departures from the agreed brief. A change of taste alone does not create the first-video paid-test option for a later order. The Provider must still address substantiated failures to meet the agreed scope.

Silence does not amount to unconditional acceptance, waive claims or authorise an additional charge. After a written reminder, an unanswered project may be paused and a new production slot agreed on resumption. A pause does not create a Release Balance debt for a first video that has not been affirmatively approved. The review period does not shorten mandatory claim periods or exclude rights that cannot lawfully be waived.

8. Cancellation and refunds

Either party may request cancellation through the agreed written project channel. The following rules distinguish work completed from an advance for work not yet performed. They are subject to mandatory rights and do not impose an automatic non-refundable deposit.

Before production starts: the unused advance is refundable, less only specifically approved, documented and non-recoverable third-party costs where their retention is lawful. The Provider may not deduct a generic cancellation penalty that was not expressly agreed.

First video cancelled before the Test Stage is complete: the Provider may retain payment for documented work actually performed within the agreed Test Stage and approved non-recoverable third-party costs. Together these deductions cannot exceed the Test Stage Fee unless the customer separately approved additional work or expenditure. Any unused balance is returned. The conditional Release Balance is not due.

First video declined after a properly completed Test Stage: the Provider retains the 50 percent Test Stage Fee. The other 50 percent is not due, and the customer has no right to use the video under section 9. This applies to a decision based on creative preference; it does not remove remedies for a substantiated service failure.

After the customer has elected to purchase release, or for a later prepaid order: cancellation is assessed against the agreed work actually performed and approved non-recoverable third-party costs, up to the agreed order price, plus any separately approved extras. An unused balance is returned. There is no double recovery of work or costs already included in an earned fee. A fully delivered, compliant order is not made refundable merely by a subsequent change of taste, subject to mandatory rights.

Provider failure: if the Provider materially departs from the agreed brief or cannot perform the promised work, the Provider must offer correction or an agreed reasonable revised schedule. The customer is not required to accept an unreasonable delay or pay the first-video Release Balance to obtain correction of the Test Stage. If the failure cannot be remedied within a reasonable agreed period, the undelivered or unusable affected part is refunded. If an unremedied failure makes the entire Test Stage unusable for its agreed review purpose, the Test Stage Fee is refunded. The right to retain a completed Test Stage Fee is not a guarantee of retention regardless of performance.

The Provider will give the customer a calculation for any cancellation deduction. Undisputed refunds are initiated within ten business days after the amount and lawful payment route are confirmed. Any disputed amount must be addressed promptly through the agreed complaint process; statutory rights and payment-dispute rights are not excluded. Receipt times depend on the bank or payment service.

9. Previews and rights in the final work

Before full payment, previews and rejected work may be used only for internal evaluation by the customer and their authorised project reviewers, subject to confidentiality. They may not be published, used in advertising, distributed externally, edited for commercial use or supplied to another producer for commercial reuse. The Test Stage Fee alone does not buy a commercial licence or ownership of the finished video. The customer may retain a review copy for lawful recordkeeping, not for publication or reuse.

The parties expressly agree that, to the extent legally permitted, transferable economic rights held by the Provider in original custom elements of the video do not pass to the customer merely because the work has been commissioned, created, previewed or paid for in part. Transfer is conditional on full payment and completion of the required written or electronic rights documentation identifying the existing final deliverables. Nothing here purports to transfer rights that do not legally exist or rights the Provider does not hold.

After those conditions are met, the customer acquires the Provider's transferable economic copyright rights in those identified original custom elements. Unless the Order Confirmation expressly limits the scope, this includes reproduction, distribution, public display and communication, online publication, advertising use, adaptation and translation worldwide for the remaining statutory protection period. Remuneration for the transferred rights is included in the agreed full price.

This does not transfer the Provider's pre-existing tools, templates, reusable components, working files or know-how, or ownership of third-party materials. Incorporated third-party assets remain subject to their licences. The Provider must disclose material usage restrictions before final delivery and include the permissions needed for incorporated reusable elements to the extent agreed and legally available.

Authors' non-transferable personal rights are not assigned. AI-generated elements may not qualify for exclusive copyright protection; exclusivity or ownership is not promised beyond rights legally available. Customer-owned materials remain the customer's property, and withholding a final video does not remove their independent rights to use their own materials outside the Provider's work.

10. Production tools and confidentiality

The Provider may use production software and AI-assisted tools where their terms permit the intended commercial use and all inputs are authorised. Cloning a voice or using an identifiable person's likeness requires the necessary specific permission. Confidential customer material must not be sent to external AI services without the customer's prior written approval.

Both parties must protect non-public project information and use it only for the project, except where disclosure is required by law or information becomes public without a breach. Authorised service providers must receive only what is needed for their role and appropriate confidentiality obligations. A separate data-processing agreement is required where applicable.

11. Portfolio and business results

The Provider may publish customer names, logos, materials or completed work in a portfolio only with the customer's separate written permission. Accepting these terms, paying a Test Stage Fee, declining a preview or paying in full does not itself grant portfolio permission.

The service is production of the agreed deliverables, not a guarantee of sales, conversions, advertising approval or other business results. The customer is responsible for the factual claims, legally required disclosures and intended use of their advertising.

12. Responsibility and interruptions

Each party is responsible for its own breach and the permissions relating to materials it supplies. To the extent permitted by applicable law, the Provider's aggregate liability relating to an order is limited to that order's agreed price. This limitation does not apply to fraud, intentional misconduct, gross negligence or liability that cannot legally be limited. It does not cancel the refund obligations stated above.

Neither party is responsible for delay directly caused by an event beyond their reasonable control if they promptly notify the other party and take reasonable steps to reduce its impact. This does not erase obligations to account for advances or refund undelivered services. If an interruption continues for more than thirty days, either party may cancel the undelivered part under section 8.

13. Notices and changes

The Provider's contact for orders, complaints, cancellation and refunds is hello@leyren.com. The Order Confirmation must also identify the agreed written project communication channel and the parties' authorised contacts. Project approvals and revision requests should use that channel; complaints and cancellation notices may also be sent to the Provider's contact email. Formal notices may additionally be sent to the business postal address stated in the Order Confirmation. Any further legally required contact information must be supplied before the relevant paid order is accepted.

These terms are governed by Ukrainian law, subject to overriding mandatory rules. The parties will first try to resolve disputes in writing. Unresolved disputes may be brought before a court with jurisdiction under applicable law. This does not waive mandatory jurisdiction or consumer rights where they apply.

The accepted version of the terms and Order Confirmation must be retained with the order. New versions apply to future acceptances, not retroactively to existing orders. Changes to an existing order require both parties' written agreement. These terms do not themselves amend a previously signed agreement or create authority for an automatic payment.

The English version is used for international business orders. A translation does not replace mandatory language, signature or other form requirements.
